NOMINATING COMMITTEE BUSINESS SESSION AND CANDIDATES FORUM AT THE 2026 ABA ANNUAL CONFERENCE

The secretary hereby gives notice that the Nominating Committee will meet in conjunction with the 2026 ABA Annual Conference on the morning of Sunday, Aug. 2, at the headquarters hotel in Chicago, beginning with the business session. After the business session, the Nominating Committee will hear from candidates seeking an officer nomination at the 2027 ABA Midyear Meeting. All association members are welcome to attend these portions of the meeting. Immediately following the candidates forum, the Nominating Committee will meet in executive session.

NOTICE BY THE SECRETARY: MEETING OF THE MEMBERSHIP

The secretary hereby gives notice to the members of the American Bar Association that the meeting of the membership will be held Sunday, Aug. 2, in conjunction with the 2026 ABA Annual Conference in Chicago.

PROPOSED AMENDMENTS TO THE CONSTITUTION, BYLAWS AND HOUSE RULES OF PROCEDURE

Proposed amendments to the ABA Constitution and Bylaws have been duly filed with the secretary of the association by the indicated sponsoring members of the association for consideration by the House of Delegates at the 2026 ABA Annual Conference in Chicago. 2026 ANNUAL MEETING OF THE MEMBERS OF THE AMERICAN BAR ENDOWMENT

The annual meeting of the members of the American Bar Endowment will be held at 8:45 a.m. on Aug. 3, 2026, at the Hyatt Regency Chicago. The agenda includes the election of directors and votes on certain amendments to the ABE bylaws. The proposed amendments to the bylaws, if adopted, would (i) allow for the notice of the annual member meeting to be published digitally in the ABA Journal; (ii) remove language relating specifically to directors who were in office on Aug. 1, 2017 (the date of the last bylaw amendment), who are no longer in office; (iii) clarify (but not change) the quorum requirement and manner of acting for the Board of Directors; (iv) clarify how committee members and chairs are selected; (v) clarify how officers are nominated and that the Board of Directors has the authority to appoint a CEO, a chief operating officer, and other corporate officers if deemed necessary by the Board of Directors; (vi) clarify that assistants to officers are not required to be directors; (vii) remove outdated provisions related to gifts and donations and replace them with provisions customary for an Illinois not-for-profit corporation that is classified by an organization described in Section 501(c)(3) of the Internal Revenue Code; (viii) clarify that any indemnification authorized under the bylaws complies with the Internal Revenue Code; and (ix) clarify that a quorum of the members must be present at any annual or special meeting at which amendments to the bylaws may be approved. STATE DELEGATE ELECTION NOTICE

Pursuant to Article 6.5 of the association’s constitution and bylaws, six delegates-at-large to the House of Delegates will be elected at the 2026 ABA Annual Conference for three-year terms. Voting for this election will be conducted entirely electronically. All members registered for the annual conference are eligible to vote in the election.
